1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer," "you," or "your") and Voxirad ("Voxirad," "we," "us," or "our") governing your access to and use of the Voxirad platform, including our AI-powered voice dictation and radiology reporting services (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a healthcare organization or entity, you represent and warrant that you have the authority to bind such organization to these Terms.

2. Service Description

Voxirad provides an AI-powered platform designed specifically for radiologists and healthcare providers to:

• Convert voice dictation into structured radiology reports using natural language processing and machine learning
• Generate AI-assisted impressions and recommendations based on dictated findings
• Facilitate workflow automation and reporting efficiency
• Enable internal analytics and follow-up capabilities for healthcare organizations

The Services are provided on a software-as-a-service (SaaS) basis and are subject to the features and limitations of your selected subscription plan.

3. Account Registration and Eligibility

3.1 Eligibility

The Services are intended solely for use by licensed healthcare professionals and authorized personnel within healthcare organizations. You must be at least 18 years of age and legally authorized to enter into binding contracts to use the Services.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring that your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in fraudulent, abusive, or illegal conduct.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Services solely for lawful purposes related to healthcare delivery and radiology reporting within your authorized scope of practice.

4.2 Prohibited Conduct

You agree NOT to:

• Use the Services for any unlawful purpose or in violation of applicable laws, regulations, or professional standards
• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Reverse engineer, decompile, disassemble, or derive source code from the Services
• Remove, obscure, or alter any proprietary rights notices
• Use automated tools to access the Services beyond normal usage patterns without authorization
• Transmit malware, viruses, or harmful code through the Services
• Interfere with or disrupt the integrity or performance of the Services
• Share your account credentials with unauthorized individuals
• Use the Services to process information for individuals who have not consented to such processing
• Resell, sublicense, or commercially exploit the Services without written authorization

5. Professional Responsibility and Medical Judgment

5.1 Clinical Decision Support Tool

IMPORTANT: Voxirad is a clinical decision support tool designed to assist healthcare professionals. The Services do NOT replace professional medical judgment, clinical expertise, or independent verification of results.

5.2 User Responsibility

You acknowledge and agree that:

• All clinical decisions and final report content remain your sole responsibility
• You must review, verify, and edit all AI-generated content before finalizing any report
• You are responsible for ensuring all reports meet applicable medical standards and guidelines
• The Services should be used as one component within your comprehensive clinical workflow
• You remain fully liable for all medical decisions and patient care outcomes

5.3 No Medical Advice

We do not provide medical advice, diagnosis, or treatment. Any information generated by the Services is for professional use only and should not be construed as medical advice or a substitute for clinical judgment.

6. Data and Privacy

6.1 Business Associate Agreement

If you are a Covered Entity under HIPAA, we will execute a Business Associate Agreement (BAA) with you. The BAA governs our handling of Protected Health Information (PHI) and is incorporated by reference into these Terms.

6.2 Data Ownership

You retain all ownership rights to your Customer Data (including voice recordings, dictation content, and generated reports). We claim no ownership rights to Customer Data.

6.3 Data Use

We may use de-identified and aggregated data for:

• Improving and training our AI models
• Service analytics and performance monitoring
• Research and development purposes
• Creating benchmarks and industry insights

All such uses comply with applicable privacy laws and do not reveal your identity or PHI.

6.4 Data Security

We implement industry-standard security measures as described in our Privacy Policy and Security Documentation. However, no system is completely secure, and we cannot guarantee absolute security of your data.

7. Intellectual Property Rights

7.1 Voxirad Property

The Services, including all software, algorithms, interfaces, trademarks, logos, and documentation, are owned by Voxirad and protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted herein are reserved by Voxirad.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription period solely for your internal business purposes.

7.3 Feedback

If you provide feedback, suggestions, or recommendations regarding the Services, we may use such feedback without any obligation to compensate you. You hereby grant us all rights to use, modify, and incorporate such feedback into our Services.

8. Subscription and Payment Terms

8.1 Subscription Plans

The Services are offered on a subscription basis with various plans and pricing tiers. Your subscription details, including pricing and features, are specified in your Order Form or subscription agreement.

8.2 Payment Obligations

• Fees are due in advance according to your billing cycle
• All fees are non-refundable except as expressly stated in these Terms or required by law
• You authorize us to charge your designated payment method for all applicable fees
• Failure to pay may result in suspension or termination of Services

8.3 Price Changes

We may modify our pricing with 30 days' notice. Price changes will not affect your current subscription term but will apply upon renewal.

8.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying.

9. Service Level and Support

9.1 Availability

We strive to maintain high service availability but do not guarantee uninterrupted or error-free access. We may perform scheduled maintenance with advance notice when possible.

9.2 Support

Support services are provided according to your subscription plan. Enterprise customers may receive enhanced support per their agreements.

9.3 Service Modifications

We reserve the right to modify, update, or discontinue features of the Services with reasonable notice. We will use commercially reasonable efforts to avoid material adverse impacts to existing functionality.

10. Term and Termination

10.1 Term

These Terms commence when you first access the Services and continue for the duration of your subscription.

10.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing period.

10.3 Termination by Us

We may terminate or suspend your access immediately for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• Endangerment of system security or integrity

10.4 Effect of Termination

Upon termination:

• Your access to the Services will cease
• You remain obligated to pay all outstanding fees
• We will retain or delete your data according to our Privacy Policy and applicable law
• You may request data export within 30 days of termination

11. Warranties and Disclaimers

11.1 Limited Warranty

We warrant that the Services will perform substantially in accordance with our documentation under normal use. This warranty does not cover issues arising from misuse, modifications, or third-party services.

• Your violation of any rights of third parties
• Your Customer Data or any content you submit
• Medical decisions or patient care outcomes

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@voxirad.com to attempt to resolve any dispute informally.

14.2 Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration shall take place in [Jurisdiction], and judgment may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis. You waive any right to participate in class actions or class-wide arbitration.

15.4 Severability

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.6 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.7 Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemic, labor disputes, or internet service provider failures.
